Affiliation Agreements

All Affiliation Agreements, Riders to Affiliation Agreements, and Letters of Renewal need to be forwarded to the General Counsel's office for review and legal approval.  The office of the Provost must give final approval to all Affiliation Agreements, Riders to Affliliation Agreements and Letters of Renewal of affiliation agreements.

Before a department forwards an affiliation agreement for review, the department should review the document to determine whether any changes have been made to the department's standard form or whether the proposed affiliate has proposed its own document.  This informaton should be provided to the General Counsel's Office when the affiliation agreement is sent for legal review.

Additionaly, each department should verify that it has used the correct name for the affiliate and that all contact information has been included in the document.  If an affiliate requires attachments or exhibits to the affiliation agreements, these must be sent with the agreement for review.  Incomplete submissions will not be approved.

The agreements can be dropped off at the office, faxed or emailed to gcounsel@mail.ucf.edu.  Please allow 5 business days for processing of standard agreements generated by UCF and 10 business days or more for non-standard agreements.

The General Counsel's Office will review each agreement for legal purposes and approve the language.  Once the General Counsel's Office has reviewed the documents and approved the language, the document will be forwarded to the office of the Provost for final approval.  The Office of the Provost will return the approved document to the General Counsel's Office, which will notify the department that the agreement is ready.

 


Contractual Services Agreement

All contracts need to be forwarded to the General Counsel's office prior to execution by either party to enable the attorneys to make necessary legal changes to the documents.  The contracts can be dropped off at our office, faxed, or emailed to gcounsel@mail.ucf.edu.

As an attachment to the contract, please provide your name, department, and number where you can be reached at.

There is a minimum of 10 business days for processing the contracts so that proper legal review and document execution can be accomplished.

Once the contracts have been properly reviewed and approved, all changes made to these contracts must be either integrated into the final agreement or each handwritten change must be initialed by the authorized signatories of the parties.

So after legal review, the contracts are forwarded to the authorized signatores for UCF.  Only certain individuals have been delegated signature authority from the president to sign contracts.  Signing contracts or any other document without such authority exposes the individual to personal liability.

All contracts must be completed and signed by both parties in advance of any services being performed.


Legal Representation
The General Counsel's Office represents the university in all forms of litigation and/or legal disputes including lawsuits, administrative hearings, bid protests, arbitration, mediations, contract disputes, etc. Although the General Counsel's chief responsibility is to represent the university, the General Counsel's office also provides representation for individual employees who have legal actions brought against them for actions they have taken that were within the course and scope of their employment. Due to the small size of the General Counsel staff, it is often impossible for the General Counsel's Office to directly represent the university or its employees in litigation. When that is not possible, the General Counsel coordinates representation with the State Attorney General's Office, or, in some instances with private attorneys. University employees receiving a subpoena or notification that a lawsuit has been instituted against them for actions taken in the course and scope of their job should contact the General Counsel immediately.

Legal Advice

The General Counsel's Office frequently receives inquiries requesting legal advice. The General Counsel is available to provide legal advice to faculty and staff on issues relating to university business. Legal advice on issues of general university interest will also be posted on the General Counsel website under "Current Issues."


Clerk of the University

The Clerk of the University is located in the General Counsel's Office. The current Clerk is Rebecca Matos. All petitions and/or requests to the University of Central Florida Florida made pursuant to university regulation must be filed with the Clerk of the University .This includes, but is not limited to, the following:


1) Petitions to adopt, amend or repeal a regulation;
2) Requests for copies of a proposed regulation;
3) Requests for notice of regulation-making and public hearings on proposed regulations, and .
4) Petitions or responses in connection with student grievances.
